Welcome to Yinatrix! These Terms of Service ("Terms") apply to your ("you" or "your") use of the Yinatrix platform (the "Service"). By using the Service, you agree that these Terms will become a legally binding agreement between you and WenSiHeYuan, the operator of Yinatrix (the "Operator", "we", "us", or "our"), identified in these Terms.

- By accessing or using yinatrix.com (the "Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy.
- Yinatrix is an AI tool platform that integrates multiple leading third-party AI models. Some outputs are generated by those third-party models and are subject to both these Terms and the model providers' own policies.
- AI-generated content is provided "AS IS" and without warranty of accuracy and does not constitute professional advice. You use outputs at your own risk.
- Paid plans (monthly or annual) auto-renew until cancelled; fees for the current period are generally non-refundable except as stated in Section 4.
- Our total liability is limited to the greater of USD $100 or the fees you paid in the prior 12 months, and we are not liable for indirect, incidental, or consequential damages including lost profits.
- We may remove content, restrict, or permanently ban accounts that violate these Terms (Section 9 and Section 14).
- Disputes are governed by the laws of the People's Republic of China and subject to the exclusive jurisdiction of the competent courts at the Operator's place of incorporation (subject to mandatory local consumer rights where you reside).
- If you do not agree to these Terms, do not use the Service.
Definitions
In these Terms, the following capitalized terms have the meanings stated:
- "Yinatrix" / "Service" means the Yinatrix website, applications, APIs, and the third-party AI models we integrate, available at https://yinatrix.com.
- "Operator", "we", "us", "our" means WenSiHeYuan, the operator of Yinatrix.
- "Terms" means these Terms of Service and all documents incorporated by reference.
- "User", "you", "your" means any individual using the Service.
- "Account" means your registered user account.
- "Subscription" / "Plan" / "Free Tier" / "Paid Plan" / "Monthly Plan" / "Annual Plan" means a paid or free service plan described in Section 4.
- "Fees" means amounts payable for a Paid Plan.
- "Billing Period" means the monthly or annual cycle in Section 4.2.
- "Credits" has the meaning in Section 4.8.
- "Your Content" / "User Content" means content you input, upload, or generate, as defined in Section 5.2.
- "Outputs" / "AI-Generated Outputs" means content generated by the Service or its models, as defined in Section 5.4.
- "Model Providers" / "Third-Party Models" means the integrated AI model providers in Section 3.2.
- "Privacy Policy", "Security Policy" mean the corresponding documents incorporated by reference.
- "DMCA" means the U.S. Digital Millennium Copyright Act and equivalent procedures in Section 15.
1. Acceptance of Terms
1.1 Entity and Scope. These Terms form a binding agreement between you and WenSiHeYuan, regarding your access to and use of yinatrix.com, including any associated applications, APIs, and the third-party artificial-intelligence models we integrate (collectively, the "Service"). These Terms, together with the Privacy Policy, and any feature-specific Additional Terms, constitute the entire agreement between you and us. In the event of a conflict, the specific document governs the conflicting subject matter; otherwise these Terms control.
1.2 How You Accept. You agree to these Terms by any of the following: (a) accessing or browsing the website; (b) creating an account; (c) subscribing to or purchasing any paid plan; or (d) using the Service in any way.
1.3 Eligibility (User Qualifications). You represent and warrant that:
- (a) you are at least the minimum age required to form a binding contract in your jurisdiction, and in any event at least 13 years old (or the higher age required by applicable law);
- (b) you have the full right, power, and authority to enter into and perform these Terms;
- (c) your use of the Service does not and will not violate any law, regulation, or other agreement to which you are bound;
- (d) you are not located in a country or region subject to comprehensive trade sanctions or export restrictions (e.g., embargoed territories), and you are not listed on any sanctioned-parties list; and
- (e) you will use the Service only for lawful, authorized purposes.
The Service is not directed to children under the applicable age of digital consent. Individuals below the applicable age of digital consent are not permitted to access or use the Service. We do not knowingly collect personal data from such individuals.
2. Accounts
2.1 Registration. To use certain features you must create an account and provide accurate, complete, and current information (including a valid email address or phone number). You agree to keep your information up to date.
2.2 Verification. We may require you to verify your identity, age, or eligibility to use the Service at any time where reasonably necessary to comply with applicable law, protect the Service, prevent fraud or abuse, or enforce these Terms. Failure to complete such verification may result in suspension or termination of your access to the Service.
2.3 Security and Responsibility. You are responsible for all activity that occurs under your account. You must safeguard your credentials and must not share, sell, rent, or transfer them. Any action taken through your account is deemed to be taken by you. Notify us immediately of any unauthorized use.
2.4 Restrictions. You may not create an account using another person's identity, create multiple accounts to circumvent limits or suspensions, or register an account if we have previously disabled one for you.
3. Description of Service
3.1 Overview. Yinatrix is an AI tool platform that integrates multiple industry-leading third-party AI models to provide text, image, audio, video, document, and related generation and editing capabilities.
3.2 Third-Party AI Models. The Service accesses one or more third-party model providers ("Model Providers") through APIs or similar means. You acknowledge and agree that: (a) some outputs are generated by third-party models that we do not control; (b) your prompts and inputs may be transmitted to and processed by those Model Providers according to their own terms and policies; and (c) we make no warranty as to the accuracy, availability, legality, or safety of any third-party model or its outputs.
3.3 Changes, Suspension, Termination. We may, at our discretion and (where practicable) with prior notice, modify, limit, suspend, or discontinue the Service or any feature (including pricing, model availability, and API access) for operational, security, legal, or business reasons. We do not guarantee that the Service will be uninterrupted, error-free, or free of data loss, and are not liable for any such interruptions except as required by law.
3.4 Availability and Backup. The Service is provided "AS IS." You are solely responsible for backing up any content you create or generate. We do not guarantee long-term storage of your data, and data may be deleted and become unrecoverable following termination.
4. Subscription, Billing, Credits, and Refund Policy
4.1 Free and Paid Plans. The Service offers a free tier with limited features and various paid subscriptions ("Subscription" or "Plan"). Fees, features, and limits are shown on our Pricing page and in your order confirmation.
4.2 Plan Types — Monthly and Annual. Subscriptions are offered on a monthly or annual billing cycle. Annual plans are billed in advance for the full year and typically provide a discounted effective monthly rate versus monthly billing. The billing cycle begins on the date of purchase and recurs on the corresponding date each month or year.
4.3 Billing and Payment. Paid plans are processed through third-party payment processors. Your relationship with the processor is governed by its own terms; we are not responsible for the processor's acts or omissions. You must provide valid, authorized billing information and keep it current.
4.4 Auto-Renewal and Cancellation at Expiry. Unless stated otherwise, Subscriptions automatically renew at the end of each billing period, and we will charge the then-current fee without further authorization until you cancel. You may cancel at any time in your account settings. Cancellation takes effect at the end of the current paid period ("cancel at expiry"); your Plan remains active until that period ends, and fees for that period are non-refundable (except where required by law).
4.5 Plan Upgrades and Downgrades.
- (a) Upgrade: Upgrading to a higher-tier Plan takes effect immediately. We will charge a prorated amount for the remainder of the current period (the new higher rate less any unused portion of the prior Plan), and subsequent renewals bill at the new rate.
- (b) Downgrade: Downgrading takes effect at the end of the current paid period; your current Plan stays active until then, and we do not refund the difference for the unused portion of the higher tier.
- (c) Changes to usage limits (e.g., adding credits on upgrade) are reflected on the next invoice; removing them does not entitle you to a refund of amounts already paid.
4.6 Price Changes. We reserve the right to change the prices and plans at any time. We may change fees upon notice. Increases apply at renewal or after at least 30 days' notice; if you do not accept the new price, you may cancel before it takes effect. Continued use after a price change constitutes acceptance.
4.7 Free Tier. We offer a free tier to allow users to experience some commonly used AI tools; you can stay indefinitely without purchasing a paid plan.
- (a) Free tier features and limitations: The features and limitations of the free tier are provided and published at our discretion and may include, without limitation: restrictions on available output types or formats (for example, certain formats such as video may not be available); visible watermarks or other marks applied to generated content; lower processing priority; credit or usage caps; and limitation to non-commercial use. The free tier carries certain limitations relative to paid plans. To remove these limitations, subscribe to a paid plan.
- (b) Subject to publication and subject to change: The specific restrictions in effect at that time are set forth in our pricing/feature pages (incorporated by reference) and may be changed at any time in accordance with Section 16.
- (c) Not subject to free tier restrictions during the paid period: During the valid paid subscription period, your use is subject to the limitations of your Plan's current features and is not subject to the above free tier restrictions (for example, when your Plan includes watermark-free output, the generated content does not have the free tier watermark). After cancelling or downgrading back to the free tier, its restrictions will apply again to subsequent activities.
4.8 Credits.
- (a) Acquisition: Credits may be granted by (i) purchasing a Plan that includes them; (ii) recharge credits (top-up packages); (iii) promotional offers, bonuses, or loyalty/reward programs; or (iv) referrals or other campaigns we run.
- (b) Use and Expiry: Credits are consumed as you use metered features. Unless stated otherwise at the time of issuance, credits are permanently valid. We may also periodically distribute credits with validity periods as described in (a), and the specific validity period of each credits distribution will be determined at the time of distribution. Expired credits are forfeited without refund or compensation.
- (c) Nature and transfer: Credits constitute a limited, personal, non-transferable permission to use the Service's metered features. They are not a stored-value, gift, or prepaid instrument and have no cash value apart from the Service. Credits may not be sold, assigned, gifted, or traded. We may adjust credit balances, issuance, validity, or limits at our discretion and in accordance with applicable law.
4.9 Refund Policy and Process.
- (a) General rule: Except as required by law or expressly stated here, fees for a current period are non-refundable.
- (b) Our fault: If we cannot provide a paid feature for the whole period through our fault, we will migrate you to a comparable feature or refund the corresponding portion of the period.
- (c) Process: To request a refund where one is owed, contact support@yinatrix.com within the eligibility window stated in your Plan. We will review and, if approved, issue the refund to your original payment method within 3 business days. Refunds may require your account to be in good standing and may be subject to verification.
- (d) Pricing errors: We may refuse or cancel any order affected by a pricing, description, or typographical error and refund the amount charged without an obligation to sell at the erroneous price.
4.10 Non-Refundable Circumstances. Refunds will not be provided where:
- (a) you have used or substantially used the Service/features in the current period (e.g., generated outputs, consumed credits);
- (b) you request a refund simply because you no longer wish to use the Service after the cancellation-at-expiry point;
- (c) the request relates to consumed, expired, or promotional/free credits;
- (d) termination is due to your breach of these Terms;
- (e) you accepted a non-refundable promotional or discounted offer that explicitly stated so; or
- (f) applicable law mandates otherwise (in which case the legal minimum applies).
5. Intellectual Property Policy
5.1 Our Intellectual Property. The Service, including its software, design, branding, and "Yinatrix" trademarks, and all related intellectual property, are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during the term.
5.2 Your Content — Ownership. "Your Content" means any content you input, upload, or generate through the Service. As between you and WenSiHeYuan, you retain all rights, title, and interest in Your Content, subject to the licenses you grant below.
5.3 License to Your Content. To operate and improve the Service, you grant us a worldwide, royalty-free, non-exclusive license to host, store, reproduce, display, modify (as necessary to render), and process Your Content, and to share it with Model Providers solely as required to generate outputs you request. This license survives termination only as needed to operate the Service and comply with law.
5.4 AI-Generated Outputs — Rights and License.
- (a) Free tier. Outputs you generate on a free plan are licensed to you for non-commercial use only.
- (b) Paid Subscribers. Subject to your compliance with these Terms and payment of applicable fees, and to the extent permitted by applicable law, you may use paid-tier Outputs for commercial purposes. We do not claim ownership of Outputs, and we grant you a worldwide, non-exclusive license to use, reproduce, and share them.
- (c) No guarantee of IP rights. The availability, ownership, or enforceability of intellectual-property rights in AI-generated content varies by jurisdiction and may not be recognized everywhere (for example, some jurisdictions require human authorship). We make no representation that any Output is eligible for copyright or other protection, and you are responsible for determining your rights before relying on an Output.
5.5 Third-Party and Licensed Content. Outputs may incorporate or result from third-party models, datasets, or licensed material whose rights remain with their owners and are subject to the Model Providers' terms. Your use of such content must comply with those terms.
5.6 Feedback. If you submit ideas, suggestions, or feedback, you agree we may use them without restriction or compensation, and (to the extent permitted by law) you assign to us all right, title, and interest in such feedback.
5.7 Trademark Policy. "Yinatrix" and related marks are our trademarks. You must not use the Service to generate, reproduce, or use content that infringes any third party's trademark, trade dress, logo, brand name, or slogan (for example, generating a brand's logo, mimicking a company's visual identity, or using protected marks to imply endorsement). We may remove such content and, in cases of repeat or wilful infringement, restrict or terminate your account. Trademark owners may report suspected infringement through the process in Section 15.
6. Your Content and Personal Data
6.1 Responsibility for Content. You are solely responsible for Your Content and for ensuring you have the rights to provide it. You represent that Your Content does not infringe any third party's rights or violate any law.
6.2 Use of Your Content to Train Models. We will not use Your Content or prompts to train our own or third-party foundation models without your separate, affirmative consent. Model Providers may process Your Content solely to generate the outputs you request, as described in their policies.
6.3 Privacy and Data Role. Our handling of personal data is governed by the Privacy Policy. We act as the controller of personal data we process in connection with your use of the Service (for example, your account, analytics, and generating the outputs you request). Where your prompts or content are transmitted to third-party Model Providers to generate outputs, those providers process the data under their own policies, as described in the Privacy Policy.
6.4 Cross-Border Data Transfers. The Service integrates third-party AI models and may be supported by infrastructure located outside your country of residence. Accordingly, Your Content and personal data may be transferred to and processed in countries other than your own, including the United States and other jurisdictions whose data-protection laws differ from those of your home country. The Operator may also be established outside your country of residence, and Personal Data accessed or processed by the Operator's systems is subject to the same safeguards described in the Privacy Policy. By using the Service, you consent to such transfers as described in the Privacy Policy, which implements appropriate safeguards (such as contractual clauses) where required by law.
6.5 Retention, Deletion, and Export. You may export Your Content while your account is in good standing. Upon termination, we will handle Your Content per the Privacy Policy; we are not liable for loss of data you fail to export in time.
7. AI Products — Special Terms
7.1 Multiple Integrated Models. The Service combines several leading AI models. Outputs may differ depending on the model selected, and we do not control or guarantee the behavior, output, or availability of any Model Provider.
7.2 No Accuracy or Professional Advice. AI outputs may be incorrect, incomplete, biased, or out of date. They do not constitute legal, medical, financial, tax, or any other professional advice. Do not rely on outputs for such purposes without independent verification by a qualified professional.
7.3 No Impersonation of Humans. You must not present AI-generated content as solely human-authored where disclosure is required, and you must comply with laws and platform rules requiring labeling of synthetic or AI-generated media (including deepfakes and likeness/voice generation).
7.4 Content Labeling. Where law requires (for example, disclosure of AI-generated or deep-synthesized content), you are responsible for applying required markings and for any failure to do so.
7.5 Prohibited AI Uses. In addition to Section 9, you may not use the Service or its outputs to: violate sanctions or export controls; generate unlawful, harmful, or infringing content; build a competing model or dataset by extracting Service outputs; or attempt to reverse-engineer or extract the underlying models.
7.6 No Scraping for Training. You may not mine, extract, or scrape the Service—or its outputs—for any purpose, including training machine-learning or AI models.
7.7 Risk Assumed by You. You use AI features at your own risk. We are not responsible for any decisions, losses, or damages arising from your use of, or reliance on, AI outputs.
7.8 AI Output / Commercial Use Policy.
- (a) Permitted commercial use: Subject to these Terms and your Plan, you may use Outputs for commercial purposes, including advertising, marketing, websites, social media, products, and merchandise, provided the use complies with applicable law and does not infringe third-party rights.
- (b) Input responsibility: You must not input infringing materials (e.g., copyrighted images, videos, audio, trademarks, individuals' likeness, image or voice) as source material for generation, and you are responsible for ensuring you have the rights to any source material you provide.
- (c) No third-party copyright guarantee: We do not guarantee that any Output is free of third-party copyright, trademark, publicity, or other rights, and we are not liable for any such third-party claim arising from your use of an Output. Clearance of third-party rights, where needed, is your responsibility.
8. Content Policy
8.1 User-Uploaded Content. We store and process content you upload solely to provide and operate the Service, subject to the license in Section 5.3. We may scan, filter, or review uploaded content to detect violations of these Terms or applicable law, and we may refuse to process content that violates the Acceptable Use Policy (Section 9).
8.2 AI-Generated Results. Outputs are generated on your request. We do not pre-screen every Output, but we may review Outputs upon report or through automated systems. We may remove any Output that violates these Terms, and we are not responsible for the substance of any Output.
8.3 Reports and Takedowns. Users may report content that violates these Terms, another party's rights, or applicable law through support@yinatrix.com. We will review reports and take proportionate action, which may include removing content, restricting features, warning, suspending, or terminating the responsible account, consistent with Section 9 and Section 15.
8.4 Enforcement Cooperation. We may cooperate with law-enforcement or rights-holder requests where required by law, and may disclose information as described in the Privacy Policy.
9. Acceptable Use Policy
9.1 General Obligations. You agree to use the Service lawfully and in accordance with these Terms, the Acceptable Use Policy, and all applicable laws.
9.2 Prohibited Content Generation. You may not use the Service to generate, upload, or disseminate content that:
- (a) is unlawful, fraudulent, or furthers illegal activities;
- (b) incites or depicts violence, bloodshed, terrorism, or self-harm;
- (c) is hateful, harassing, defamatory, or discriminatory;
- (d) is sexually explicit or pornographic, including any Minor-related sexual content (zero tolerance);
- (e) infringes intellectual property or violates the Trademark Policy (Section 5.7), including generating brand logos or impersonating brands;
- (f) violates the privacy or publicity rights of others (e.g., non-consensual intimate imagery, doxxing);
- (g) contains malware, exploits, or instructions for harming systems or persons;
- (h) is deceptive (e.g., fake reviews, impersonation, misinformation for political or commercial gain);
- (i) provides unqualified medical, legal, or financial advice presented as authoritative; or
- (j) otherwise violates these Terms or applicable law.
9.3 Platform Enforcement. Where we determine, in our discretion, that content or conduct violates these Terms, we may, with or without prior notice and to the extent permitted by law: (i) remove or disable access to the content; (ii) issue a warning; (iii) limit or restrict account features; (iv) temporarily suspend the account; or (v) permanently ban the account and block re-registration. Repeated or severe violations may result in immediate permanent termination. Enforcement is not a commitment to monitor all content.
9.4 Non-Discrimination. You may not use the Service to discriminate against or incite hostility or violence toward any individual or group based on race, religion, gender, sexual orientation, disability, or other protected characteristic.
9.5 Children. The Service is not directed to children under the applicable age of consent. If you are a parent or guardian and believe a child has provided us data, contact us to request deletion.
9.6 Prohibited Conduct (Service Use). In addition to Section 9.2, you may not: (a) infringe intellectual property or other rights; (b) reverse-engineer, decompile, or create derivative works of the Service; (c) resell, lease, or sublicense the Service or its outputs except as expressly permitted; (d) build a competing product using the Service; (e) transmit viruses, malware, or harmful code; (f) send spam, phishing, or unauthorized communications; (g) circumvent access controls, rate limits, or geographic restrictions (e.g., via VPN); (h) scrape, data-mine, or benchmark the Service; (i) attempt to gain unauthorized access to systems or accounts; or (j) use the Service to develop or train competing AI models.
10. Third-Party Services and Links
10.1 Third-Party Services. The Service may integrate or link to third-party services (including Model Providers, payment processors, and external apps). Your use of such services is governed by their terms, and we make no warranty or representation and accept no liability for them.
10.2 External Links. We are not responsible for the content or practices of any third-party website linked from the Service.
11. Disclaimers — No Warranties
11.1 "AS IS". The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
11.2 No Guarantees. We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or free of harmful components, or that defects will be corrected, or that outputs will be accurate or lawful. No advice or information, whether oral or written, creates any warranty not expressly stated.
12. Limitation of Liability
12.1 Cap. To the maximum extent permitted by law, our aggregate liability to you for any claim arising out of or relating to the Service is limited to the greater of USD $100 or the total fees you paid us in the 12 months preceding the claim.
12.2 Excluded Damages. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, loss of data, loss of goodwill, business interruption, or commercial loss, even if we were advised of the possibility of such damages and regardless of the theory of liability.
12.3 Allocation of Risk. You acknowledge that the limitations in this Section reflect an agreed allocation of risk and that our fees are set in reliance on them.
12.4 Exceptions. These limits do not apply to liability that cannot be excluded by law (including for gross negligence, fraud, or death/personal injury), nor to your indemnification obligations or breaches of Section 9. Mandatory consumer-protection rights in your jurisdiction remain unaffected.
13. Indemnification
13.1 You agree to defend, indemnify, and hold harmless WenSiHeYuan and its affiliates, officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service or outputs; (b) Your Content; (c) your breach of these Terms; or (d) your violation of any law or third-party right.
14. Term and Termination
14.1 Term. These Terms are effective from your first access and continue until terminated.
14.2 Termination by You. You may stop using the Service and, where applicable, cancel your Subscription at any time per Section 4.4.
14.3 Termination by Us. We may, at our discretion and with or without notice where permitted by law, suspend, disable, or permanently terminate your account, delete your content, stop providing the Service (in whole or in part), or ban violators (including blocking re-registration), for any reason including: breach of these Terms; fraudulent, unlawful, or abusive activity; non-payment; or requests by law enforcement. We may also remove content as permitted by law.
14.4 Effect of Termination. Upon termination: (a) your license ends and you lose access; (b) if termination is our fault, we will refund the unused portion of a current paid period; (c) if termination is for your breach, all fees are forfeited and you remain liable for unpaid amounts; (d) you should export Your Content beforehand—after termination, data may be deleted and unrecoverable; (e) you may not create a new account if terminated for breach.
14.5 Survival. Sections on Intellectual Property, Billing, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and Miscellaneous survive termination.
15. DMCA Copyright Policy
15.1 Infringement Notification. We respond to notices of copyright infringement under the U.S. Digital Millennium Copyright Act (DMCA) and equivalent procedures in other jurisdictions. To file a notice, send it to our copyright agent at dmca@yinatrix.com containing: (a) your physical or electronic signature; (b) identification of the copyrighted work and the infringing material (with a locating URL); (c) your contact information; (d) a good-faith statement that the use is unauthorized; and (e) a statement, under penalty of perjury, that the notice is accurate and you are authorized to act.
15.2 Counter-Notice. If content is removed in error, the affected user may submit a counter-notice to the agent containing: (a) their signature; (b) identification of the removed material and its prior location; (c) a good-faith statement, under penalty of perjury, that the material was removed by mistake or misidentification; and (d) their name, address, and consent to the jurisdiction of the appropriate court. We may restore the material after the statutory period if the claimant does not commence legal action.
15.3 Repeat Infringer Policy. We maintain a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers of intellectual property rights. Repeated valid infringement notices may result in permanent account termination without further warning.
15.4 Other Rights Holders. Trademark and other IP complaints are handled under Sections 5.7 and 8; we may remove alleged infringing content pending resolution.
16. Changes to These Terms
16.1 We may modify these Terms at any time. Material changes will be notified in advance (e.g., by email or in-Service notice) where practicable, and the updated Terms will state an effective date. Your continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service.
16.2 We may change the Service at any time; if a paid feature is discontinued through our fault, we will migrate you to a comparable feature or refund the corresponding fees.
17. Privacy
17.1 Our collection and use of personal data are governed by the Privacy Policy, which is incorporated by reference. For California (CCPA/CPRA) users, additional rights and disclosures apply as described there. 20. Dispute Resolution
20.1 Informal Resolution. Before filing a claim, contact us to attempt an informal resolution. Many issues can be resolved quickly.
20.2 Governing Law and Exclusive Venue. These Terms are governed by the laws of the People's Republic of China, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service that is not resolved under Section 20.1 and is not within the small-claims carve-out in Section 20.3 shall be subject to the exclusive jurisdiction of the competent people's courts located in Beijing, People's Republic of China. This Section does not limit any non-waivable right you have under the mandatory consumer-protection laws that apply to you in your country of residence. Either party may seek interim or injunctive relief in any court of competent jurisdiction for breaches of intellectual-property or confidentiality obligations.
20.3 Small-Claims Carve-Out. Either party may bring an individual dispute in a small-claims court (or the local equivalent) instead of the exclusive venue in Section 20.2, to the extent such court has jurisdiction.
21. Miscellaneous
21.1 Severability. If any provision is held unenforceable, the remainder remains in effect.
21.2 Waiver. Failure to enforce any provision is not a waiver of future enforcement.
21.3 Assignment. You may not assign these Terms without our consent. We may assign them freely, including in connection with a merger or acquisition.
21.4 Entire Agreement. These Terms and the documents incorporated by reference constitute the entire agreement and supersede prior understandings on the subject matter.
21.5 Language. The English version controls where translations are provided.
21.6 Export Control and Sanctions. You must comply with applicable export-control and economic-sanctions laws and must not use the Service in embargoed or sanctioned regions or by prohibited parties.
